Horizon Legal's Terms of Use

Please carefully read the Terms of Use (hereinafter "Terms of Use") applying to the websites owned and operated by the law firm Horizon Legal (hereinafter "Horizon Legal").

Horizon Legal operates this website (hereinafter the "Platform"). By choosing to use the Platform and Horizon Legal's services, the user, understood as the end user or the organization you represent or work for (hereinafter the "User" or "Users"), accepts all of the Terms of Use set out below, which govern the content and use of the Platform, as well as the "Personal Information Protection Policy" following Horizon Legal's Terms of Use.

These Terms of Use have the effect of legally binding the User and Horizon Legal (hereinafter the "Parties"). The Parties are entitled to invoke these Terms of Use and to take all useful and necessary measures to enforce them.

If the User does not accept these Terms of Use or, as the case may be, the Terms of Use as amended from time to time, they must not, or must no longer, use the Platform.

Access to and use of the Platform

If you browse the Platform, it means you have read, understood and accepted the Terms of Use.

The Platform is accessible from any computing device (computer, smartphone, tablet, etc.) and on all browsers. For optimal use, we recommend the following browsers: Google Chrome.

The service

The Platform is accessible at all times. The Platform may occasionally be temporarily unavailable due to updates or technical issues. Horizon Legal is not liable in the event of service interruption or updates. Horizon Legal tries to perform updates when traffic on the Platform is at its lowest.

Horizon Legal does not warrant that the Platform, or any part of it, will operate on any particular hardware or devices. Furthermore, the Platform may be subject to malfunctions and delays inherent to the use of the Internet and electronic communications.

Horizon Legal reserves the right to add, delete and modify all or part of the content on the Platform, with the exception of content belonging to the User. Horizon Legal cannot be held responsible for mistakes, typographical errors and bugs. Each User created in the system owns the content of their account. Horizon Legal does not delete anything unless a User requests it.

Each User of the Platform undertakes, without limitation, not to:

• Use the Platform in a way that could damage, disable, overload or compromise the Platform;
• Disrupt the security of, or otherwise abuse, the Platform, or any service, system resource, server or network connected to the Platform or to affiliated or linked sites or accessible through them;
• Disturb or disrupt the use or enjoyment of the Platform by other services or affiliated or linked sites;
• Upload, post or otherwise transmit on the Platform any virus or other harmful, disruptive or destructive file or computer program;
• Use any robot, spider or other automatic device or manual process to monitor or copy the pages of the Platform or its content;
• Transmit through the Platform emails, chain letters, spam or other types of unsolicited mass email;
• Attempt to gain unauthorized access to the Platform or to certain portions of it to which access is restricted.

In addition, the User agrees that they are solely responsible for all actions and communications undertaken or transmitted to or on their behalf, and agrees to comply with all applicable laws regarding their use of or activities on the Platform.

Intellectual property

Unless otherwise indicated, all intellectual property rights (trademark, copyright, etc.) (hereinafter "Intellectual Property") related to the Platform are the exclusive property of Horizon Legal. You may not copy or use the material, structure, menu, appearance or characters appearing on the Platform without the explicit consent of Horizon Legal.

Certain names, words, titles, expressions, logos, icons, graphics, designs, domain names or other content on the Platform may, among other things, be trademarks or trade names, registered or unregistered (for the purposes of these Terms of Use, they are all referred to as "Trademarks"). These Trademarks are protected by the applicable Canadian and foreign trademark laws and are, as the case may be, the exclusive property of Horizon Legal.

Without limiting the scope of the foregoing, the Intellectual Property belonging to Horizon Legal includes, without limitation, the following elements:

• All logos, designs, graphics, photos, videos, marks (registered or not), symbols, texts, expressions, words as well as all the general content of the Platform not already subject to Intellectual Property rights;
• All software, APIs and materials made available by the Platform;
• All databases made available by the Platform; and
• All content offered by the Platform for free download.

Unless otherwise indicated, all information provided on the Platform belongs to Horizon Legal and is protected by the laws applicable in this regard. In addition, the information may not otherwise be copied, displayed, distributed, downloaded, licensed, modified, published, reproduced, reused, sold, transmitted or used for derivative, public or commercial works without the express written authorization of Horizon Legal. The information is protected under the copyright and trademark legislation of Canada and of the countries hosting the Platform.

Images and text contained on the Platform that are downloaded, copied, saved or printed remain subject to these Terms of Use. You must ensure that all notices regarding copyright and trademarks always appear on them. The content of the Platform may be modified at any time without notice. For further information regarding authorization to use, reproduce or republish any information presented on the Platform, please contact us at info@horizonlegal.ca.

Nothing herein shall be construed as conferring any licence or right whatsoever on the User under copyright or trademark laws.

Any unauthorized downloading, retransmission, copying or modification of the Intellectual Property or of the data contained on the Platform may violate laws, including those relating to trademarks or copyright, and could expose the User to legal proceedings.

Subject to applicable laws, the importing, creation, submission or storage of content by the User grants Horizon Legal a non-exclusive, royalty-free, assignable, sublicensable, worldwide licence. This licence authorizes Horizon Legal to host, use, modify, reproduce, publish, publicly perform, create derivative works from, or distribute your content. Under this licence, Horizon Legal may only use your content in connection with the operation, promotion or improvement of its services. If you wish to terminate this licence, simply delete your account. The content you have shared will, however, remain visible to other Users: you may request its deletion, subject to certain conditions, from the resource person, whom you can contact at info@horizonlegal.ca.

External links

By using a hyperlink, the User may leave the Platform to access external content (hereinafter "External Websites"). Horizon Legal makes links to External Websites available to Users, in addition to its own content, solely for convenience and for the User's information. Horizon Legal has no control over the content of these External Websites and assumes no responsibility for their accuracy, precision, completeness, authenticity, currency or suitability. Any liability of Horizon Legal is excluded, in particular regarding direct or indirect damages or consequences related to the use of the content of these External Websites. Horizon Legal has no influence over the content of the External Websites to which the links refer and disclaims any responsibility regarding its careful selection, the content of external links, in particular those that have been modified after the link was set up. Horizon Legal does not require the transmission of information, does not select the recipients of the transmitted information or the information itself, and does not modify it. Furthermore, no automatic short-term intermediate storage of these external links is carried out by Horizon Legal under the method of creating and consulting links in force. Consequently, responsibility for the content of External Websites accessible via external links lies exclusively with their operators.

Furthermore, Horizon Legal cannot in any way guarantee the absence of any violation of any law, including the absence of any violation of copyright, trademarks or third-party rights by these External Websites or their content, nor the absence of viruses or other harmful components.

No guarantee is given as to the authenticity of documents available on the Internet.

Social media

The following terms apply when you access a social media page, a User account, a website, a network or any application contained therein that has been designed and managed by a social media provider (individually, a "Social Media" and, collectively, "Social Media").

General statement

By using Social Media pages and submitting a comment, photo, video or any other element, you (as well as your parent/legal guardian if you have not reached the age of majority in the province or territory where you reside) agree to be bound by and comply with Horizon Legal's Terms of Use and Privacy Policy as well as the terms of use of the third-party Social Media providers. You also consent to Horizon Legal copying, editing, publishing, translating and distributing your comment, photo, video or other element posted on a Social Media, without compensation.

Social media terms of use

Some of the comments and other elements posted on Social Media pages may not represent the opinions of Horizon Legal. Accordingly, you agree not to post or submit information, posts, links or any other element of any kind on Social Media pages that falls into any of the categories described below, with respect to Horizon Legal:

• Any defamatory content;
• Abusive content;
• Counterfeit content;
• Obscene content;
• Misleading content;
• Illegal content;
• Content that otherwise violates the rights of others (including those related to the protection of personal information);
• Any content containing advertising;
• Promotional materials or any form of unwanted solicitation;
• Any content whose origin or source is falsified;
• Any financial or personal information, about you or another person; and
• Any information that Horizon Legal would consider to be in breach of the Terms of Use.

Any information, message, link or element that Horizon Legal considers to belong to one of the above categories will be deleted immediately, without any liability on the part of Horizon Legal.

Furthermore, Horizon Legal does not assume responsibility for filtering messages posted on Social Media.

Horizon Legal disclaims all liability with respect to the entities that own or operate Social Media, in particular for any loss or any direct or indirect damage arising from any measure or decision taken by you or by another person in connection with the use of Social Media websites.

Disclaimer, exclusion of warranty and indemnification

Horizon Legal does not warrant the accuracy, completeness, quality, relevance or content of the information on its Platform. This information is provided "as is", without any warranty or condition of any kind, express or implied, including, among others, the implied conditions and warranties of merchantability and fitness for a particular purpose, except in jurisdictions that do not allow the exclusion of warranties.

Horizon Legal is not responsible for content posted on the Platform by Users or for any damage that may result from it. Each User is responsible for the content they exchange on the Platform and may not use the Platform for purposes contrary to the laws applicable in Quebec and Canada.

Where the User is a consumer within the meaning of Quebec's Consumer Protection Act, that Act does not permit the exclusion of warranties or the non-liability of Horizon Legal for certain damages. In that case, the User has additional rights and is not subject to some of the limitations mentioned below.

Except where the Consumer Protection Act applies, Horizon Legal shall not be held liable for any direct, indirect, special, incidental or consequential damages, or for any other damages whatsoever, including loss of revenue, profits or anticipated economic benefits arising from the use of, or the inability to use, the Platform, the information, documents and software contained therein, together with their content, even if Horizon Legal has been advised of the possibility of such damages or even if such damages can reasonably be foreseen.

As a User, you shall indemnify Horizon Legal and, as applicable, its directors, officers, shareholders, partners, employees, agents, consultants and other representatives of Horizon Legal, and hold them harmless from all claims, liabilities, losses and expenses (including legal fees) attributable to the use of the Platform and/or the breach of these Terms of Use, whether that breach is by you or by any third party using your account.

You may not use or export the information, or any copy or adaptation of the information, in violation of any applicable laws or regulations.

Changes to these Terms

We occasionally update these Terms of Use. Continued use of the Platform constitutes the User's agreement to these Terms of Use and to their updates. Changes will be posted on the Platform.

Interpretation

The section headings above are inserted for reference purposes only and shall not affect the construction or interpretation of the provisions of these Terms of Use.

Whenever the context so requires, any word written in the singular also includes the plural and vice versa; any word written in the masculine gender also includes the feminine gender and vice versa.
